Based on Toot's business model, which involves investing funds on behalf of the investor based on company research and analysis, the User acknowledges and agrees to the following:

Decision-Making Delegation: The User grants Toot full authorization to make investment decisions and allocate funds to financing opportunities based on the criteria, studies, and research conducted by the Company. The Investor acknowledges that they do not intervene in the selection of entities seeking financing.

Nature of Credit Risks: The Investor understands that investment decisions made by Toot are based on thorough research and analysis; however, this does not eliminate the "credit risks" inherent in the financing sector. Invested entities may face financial difficulties or default on payments due to factors beyond Toot's ability to predict or control, which may lead to partial or total loss of the invested capital.

Limited Guarantees: The Investor acknowledges that Toot's research and studies aim to mitigate risks and select the best available opportunities but do not guarantee specific returns or the safety of capital, nor do they serve as a guarantee against the default of financing-seeking entities.

Independence of Studies: The Investor agrees that all credit decisions and ratings issued by Toot are independent professional decisions. The Investor has no right to object to the selection of a specific company or demand detailed justification for every investment decision, as Toot's strategy relies on diversification and portfolio management as a whole, in accordance with the Company's approved financial models.

Liability for Outcomes: Given the directed investment model, Toot is committed to exercising due professional care in selecting opportunities and shall not be held liable for the final financial results of individual investment opportunities unless gross negligence or willful misconduct on the part of the Company in executing due diligence procedures is proven.
